Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and SGA Praxis LLC ("Company," "we," "our," or "us"). By accessing our website, enrolling in our programs, or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Service Description

SGA Praxis provides consulting, training, and coaching services focused on organizational transformation, operational efficiency, change management, and leadership development. Our services include:

  • The ABEL Operations Accelerator System (digital application, workbooks, training)
  • Live training sessions and presentations
  • Executive and organizational coaching
  • Change management and transformation consulting
  • Assessments and advisory services
  • Access to training platforms and resources

2. Eligibility

Our services are intended for organizational leaders, managers, executives, and professionals in business roles. By engaging our services, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal authority to enter into this agreement
  • You are not prohibited from using our services
  • Your organization authorizes your participation

3. Payment Terms

3.1 Pricing and Payment

Prices for our services are listed on our website and are subject to change with notice. All payments are non-refundable except as provided in this agreement or as required by law.

3.2 Invoicing

Invoices are issued upon enrollment or service engagement. Payment is due within 30 days of invoice date unless otherwise agreed. Late payments may result in service suspension.

3.3 Payment Methods

We accept credit cards, bank transfers, and other payment methods as indicated on our website. All payments are processed securely through third-party payment processors.

3.4 Taxes

You are responsible for any applicable sales, use, or other taxes. We will add applicable taxes to your invoice where required by law.

4. Cancellation and Refunds

4.1 Cancellation Policy

Cancellations must be submitted in writing at least 14 days before the scheduled service date to be eligible for refund. Cancellations with less notice are non-refundable.

4.2 Refund Conditions

Refunds, when eligible, will be issued within 30 days. No refunds are provided for:

  • Services already rendered
  • Cancellations made less than 14 days before service
  • Non-attendance without cancellation notification
  • Custom or specialized consulting services

4.3 Service Modifications

We reserve the right to reschedule or modify services due to unforeseen circumstances. We will provide notice and work with you to find alternative arrangements.

5. Client Responsibilities

You agree to:

  • Actively participate in training and coaching programs
  • Comply with program guidelines and expectations
  • Maintain confidentiality of proprietary materials and content
  • Provide accurate information during assessments and consultations
  • Respect intellectual property rights of SGA Praxis and other participants
  • Refrain from harassment, discrimination, or disruptive behavior
  • Pay all invoices timely

6. Intellectual Property Rights

6.1 Our Property

All materials, content, frameworks, methodologies, assessments, templates, and tools provided by SGA Praxis are proprietary and protected by copyright, trademark, and other intellectual property laws. These include the ABEL Model, workbooks, training materials, and digital applications.

6.2 License Grant

We grant you a limited, non-exclusive, non-transferable license to use materials provided as part of our services solely for your internal business purposes during the engagement period.

6.3 Restrictions

You may not:

  • Reproduce, distribute, or republish our materials without permission
  • Modify, reverse engineer, or create derivative works
  • Remove copyright notices or proprietary markings
  • Use our frameworks or methodologies for commercial purposes or resale
  • Share materials with unauthorized third parties

6.4 Your Content

You retain ownership of materials you provide. By submitting content, you grant us a license to use it for delivering services and improving our offerings.

7. Limitation of Liability

7.1 No Warranty

OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE SPECIFIC BUSINESS RESULTS, ROI, REVENUE INCREASES, OR OTHER OUTCOMES. Success depends on your organization's implementation, commitment, and circumstances.

7.2 Limitation

EXCEPT AS REQUIRED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE PRECEDING 12 MONTHS. WE ARE NOT LIABLE FOR INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES.

7.3 Client Assumption of Risk

You assume all risk associated with implementing our recommendations. Consult with qualified professionals (legal, financial, HR) before making significant organizational changes.

8. Confidentiality

8.1 Client Confidentiality

We maintain the confidentiality of information you share during our engagement. We do not publicly disclose client names or details without permission, except as required by law.

8.2 Feedback and Testimonials

With your consent, we may use feedback, case studies, or testimonials for marketing purposes. We will not identify you without permission.

9. Termination

Either party may terminate services with written notice. Upon termination, obligations continue, including payment for services rendered and confidentiality of materials. Any outstanding invoices remain due.

10. Compliance and Conduct

You agree to comply with all applicable laws and regulations. Conduct that includes harassment, discrimination, illegal activity, or breach of confidentiality may result in immediate termination of services without refund.

11. Indemnification

You agree to indemnify and hold harmless SGA Praxis from any claims, damages, or losses arising from your use of our services, violation of these Terms, or infringement of third-party rights.

12. Dispute Resolution

12.1 Informal Resolution

Before formal proceedings, disputes will be addressed through good-faith negotiation. Either party may initiate this process.

12.2 Governing Law

These Terms are governed by the laws of the jurisdiction in which SGA Praxis operates, without regard to conflict of law provisions.

12.3 Jurisdiction

Both parties agree to submit to the exclusive jurisdiction of courts in the location where SGA Praxis conducts business.

13. Modifications to Terms

We may update these Terms periodically. Continued use of our services constitutes acceptance of updated Terms. Material changes will be communicated with advance notice.

14. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in effect.

15. Entire Agreement

These Terms, along with any service agreements or statements of work, constitute the entire agreement between you and SGA Praxis regarding our services.
